This edition marks a record number of companies listed in theDirectors Roster. On the following pages, you will see profiled theboard recruitment results of 241 companies -- everyone from giant IBMCorp., which added a major media executive to its board, to tinyBiocryst Pharmaceuticals Inc., which added to its board an executivewith 20 years experience in senior positions with R.J. ReynoldsInternational.

Part and parcel of this record number of companies is a recordnumber of newly selected directors detailed herein. Our dogged researchtracked 315 executives who were tapped for board service in thisissue's reporting period. Not to unnecessarily repeat oneself, butthe beauty and value of the Directors Roster is that it captures thewhole universe of director recruits -- everyone from well-knowncorporate chieftains (even, occasionally, celebrity figures) to obscureoperatives who nonetheless possess something of value in the way ofknowledge, skills, contacts, or other expertise that can be added to thecompetitive arsenal of the recruiting company.

The cover story of this issue, "Creating a Board for anIPO," is a perfectly timed theme to coincide with the occasion ofour reporting record numbers in this Directors Roster. The IPO-orientedadvice offered by our authors has applications well beyond the concernsand interests of IPO boards and companies. It is not much of a stretchto suggest that the vast range of companies and individuals appearing inthis Roster -- a good proxy for our regular subscribers, let it be said-- would benefit from the counsel conveyed by our IPO experts. And ourauthors who are "outside" the IPO section likewise offer keencounsel that has universal application. Indeed, Scott McNealy'spresentation of A Winning Business Model for the '90s," anarticle of a more macro-strategic nature which leads off this edition,is a model article in its own respect: designed to talk to themanagement and boards of any company, its message is particularly timelyfor the CEO and board of a newly public company as they lead it in thenext phase of its competitive existence.

The Directors Roster is a detailed record of executives added tocorporate boards. The Roster covers a three-month period prior to thepublication of each edition of Directors & Boards. It includescompanies of all sizes, from billion-dollar blue chips to smaller growthventures, that have elected new outside directors. The tracking ofdirector appointments and follow-up research is a joint undertaking bySpencer Stuart, a leading firm in executive and director search, andDirectors & Boards.

The Roster is organized alphabetically by the company adding the newdirector(s). A company index leads off the Roster, for ease of scanningthe universe of companies included in this listing. At the back of theRoster is a director index which lists all the new directorsalphabetically along with the name of the company whose board theyjoined. The Director Index appears on pages 81-84.

Details included in each Roster entry are the address of the companyadding the new director, the address of the director at his or herprimary affiliation (when available and for public disclosure), abiographical note on each director, and a description of the businessesof both the company adding the new director and of the director'scompany. Schools, universities, hospitals, etc., are not described.)For public companies, to give a sense of the size and scope of theenterprise, we also include revenues (or, in some cases, assets forbanks and certain financial institutions.)
